Service Agreement
1 Terms of Acceptance: By submitting payment for a Smart Ads Up invoice, the Client acknowledges and agrees to the Scope of Work (SOW), Service Tiers, and Policies outlined at smartadsup.com/terms. Payment constitutes a formal "Acceptance by Performance," and these terms shall govern the business relationship in lieu of a signed physical contract.
2 Professional Discretion & Technical Delays: Smart Ads Up provides services on a "Best Efforts" basis. Client acknowledges that Google Ads is a third-party platform with its own set of technical requirements, approval timelines, and potential system outages. In the event of technical snags, verification delays, or third-party software issues outside of Smart Ads Up’s control, certain tasks may be deferred to the following service month. Smart Ads Up will prioritize account stability and will communicate any significant timeline adjustments to the Client.
3 Limitation of Liability: To the maximum extent permitted by law, Smart Ads Up shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, revenue, or data, arising out of the performance or failure of Google Ads campaigns. Smart Ads Up's total liability for any claim arising from this relationship shall not exceed the total amount of service fees paid by the Client during the one (1) month preceding the claim.
4.1 Discretionary Service: From time to time, Smart Ads Up may perform tasks outside the explicit Scope of Work (SOW) to ensure account health or performance. The execution of such tasks is at the sole discretion of Smart Ads Up and does not constitute a permanent expansion of the agreed-upon SOW. Client acknowledges that one-time discretionary tasks do not establish an expectation of recurring service.
4.2 Out-of-Scope Requests: Any requests for services not explicitly listed in the Client’s selected Tier (e.g., website edits, new campaign builds for Tier 0, or CRM troubleshooting) will be evaluated on a case-by-case basis. Such requests may be subject to a separate project quote or a billable hourly rate of $[Insert Rate], to be approved by the Client in writing before work commences.
5.1 Account Ownership: Upon termination of the business relationship and full payment of all outstanding balances, Smart Ads Up will facilitate the transfer of primary ownership of the Google Ads account to the Client. Smart Ads Up reserves the right to withhold access or ownership transfer in the event of unresolved disputes or delinquent payments.
5.2 Proprietary Assets: Client acknowledges that specific optimizations, proprietary scripts, automated bid strategies, and custom reporting templates developed within the Smart Ads Up MCC (My Client Center) remain the intellectual property of Smart Ads Up. Upon termination, while the Client retains the account data, Smart Ads Up may remove or disconnect proprietary scripts or automations.
5.3 Third-Party Fees: Client is responsible for all ad spend paid directly to Google. Smart Ads Up is not liable for any account suspensions or interruptions caused by Client’s failure to maintain valid payment methods within the Google Ads platform.
6 Service Continuity: Management fees are billed in advance of service. In the event that a service fee payment fails but the Google Ads account remains active, Smart Ads Up will provide a 5-business-day grace period for payment resolution. After 5 business days, active management and optimization will be suspended.
Billing will continue to accrue during the suspension period as a reservation of agency capacity. Service will resume once all past-due balances are settled.
